Position purpose
Odunela Group seeks a Corporate Governance Adviser to provide professional corporate-governance oversight, statutory guidance and review of board, entity, delegated-authority and corporate-secretariat arrangements.
Scope of services
The appointed professional will:
- advise on entity-governance requirements;
- review board and committee arrangements;
- review agendas, minutes and resolutions;
- advise on statutory filing calendars;
- review delegated-authority arrangements;
- review director, officer and conflict registers;
- advise on corporate approvals;
- review governance procedures;
- support statutory and governance compliance;
- advise on company-secretarial risk;
- supervise or professionally review secretariat work;
- advise on governance implications of a new company launch and Group activities.
Required qualifications and experience
Individual applicant
The applicant must demonstrate:
- appropriate legal, company-secretarial or governance qualification;
- current professional standing where applicable;
- relevant Nigerian corporate-governance experience;
- board and entity-administration experience;
- strong formal drafting ability;
- professional-indemnity insurance where applicable;
- independence.
Organisation applicant
The organisation must demonstrate:
- legal registration;
- corporate-governance or company-secretarial practice capability;
- designated lead adviser;
- suitably qualified personnel;
- professional-indemnity insurance;
- experience advising companies or groups;
- conflict and confidentiality procedures;
- continuity arrangements.
Deliverables
- governance-framework review;
- statutory calendar;
- board-procedure review;
- delegated-authority advice;
- resolution and minute review;
- governance-risk reports;
- corporate-approval guidance;
- periodic governance memorandum.

- evidence of comparable assignments;
- two client references;
- confidentiality and conflict-management statement;
- continuity arrangement.
